Terms of Service

Please read these Terms of Service ("Terms", "Terms of Service") carefully before using the ScoutUp.ai website and service (the "Service") operated by Hooroo AI Pty. Ltd. ("us", "we", or "our").
Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.
1. Description of Service
ScoutUp.ai provides an AI-powered voice agent for conducting pre-screening interviews with job candidates ("Candidates") on behalf of hiring companies ("Clients"). The Service includes generating interview questions, conducting automated phone interviews, transcribing responses, and providing an evaluation based on predefined criteria.
2. Acceptance of Terms
By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Service.
3. User Responsibilities and Consent Obligations
As a Client, you are solely responsible for:
- Recording and Transcription Consent: Obtaining all necessary consents from Candidates for the recording and transcription of telephone interviews. You acknowledge that the Service records all interviews conducted through the platform and that you are responsible for ensuring compliance with all applicable telecommunications and privacy laws, including the Telecommunications (Interception and Access) Act 1979 (Cth) and Privacy Act 1988 (Cth).
- SMS and Text Messaging Consent: Obtaining appropriate consent from Candidates to send SMS messages, text messages, and other communications. In Australia, this includes obtaining inferred or express consent as required under the Spam Act 2003 (Cth). You represent and warrant that you have obtained all necessary consents before providing Candidate contact information to the Service.
- Telephone Contact Consent: Obtaining necessary consent from Candidates to be contacted via telephone and interviewed by an AI agent. You must inform Candidates that interviews will be conducted by an automated voice agent.
- Fair Hiring Practices: Ensuring that the interview questions and evaluation criteria comply with all applicable laws and regulations, including those related to fair hiring practices, anti-discrimination laws, and equal employment opportunity requirements.
- Account Security: Maintaining the confidentiality of your account information and all login credentials.
- Accurate Information: Providing accurate and complete information about Candidates and job positions.
YOU ACKNOWLEDGE AND AGREE THAT YOU ARE SOLELY RESPONSIBLE FOR OBTAINING ALL NECESSARY CONSENTS AND THAT HOOROO AI PTY. LTD. BEARS NO RESPONSIBILITY FOR YOUR FAILURE TO OBTAIN SUCH CONSENTS.
4. Data Privacy
We are committed to protecting your data and the data of your Candidates. Our collection and use of personal information in connection with the Service is described in our Privacy Policy. By using the Service, you acknowledge and agree that we will process personal information of Candidates in accordance with our Privacy Policy and applicable data protection laws.
5. Data Retention and Recordings
Interview recordings, transcripts, and related data are retained for the duration of your active subscription and for a period of 90 days following the termination or cancellation of your account, unless otherwise required by law or requested by you in writing. You may request deletion of specific recordings or data at any time by contacting us at hello@scoutup.ai. We reserve the right to retain anonymized or aggregated data for analytical and service improvement purposes.
6. Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of Hooroo AI Pty. Ltd. and its licensers. The Service is protected by copyright, trademark, and other laws of both Australia and foreign countries.
7. Prohibited Uses
You agree not to use the Service for any unlawful purpose or to engage in any activity that would violate the rights of others. You may not use the Service to ask discriminatory questions or screen candidates based on protected characteristics. You may not use the Service in any manner that violates the Telecommunications Act 1997 (Cth), the Spam Act 2003 (Cth), or any other applicable telecommunications or privacy laws.
8. Payment Terms
Subscription fees are charged in advance on a recurring basis and are non-refundable except as required by law. You authorize us to charge your payment method for all fees related to your subscription. If payment fails, we may suspend or terminate your access to the Service. We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle.
9. Service Availability and Limitations
While we strive to provide uninterrupted service, we do not guarantee that the Service will be available at all times or that it will be error-free. We are not responsible for failed calls, technical issues with telecommunications networks, incorrect transcriptions, or other technical failures beyond our reasonable control. Service availability may be affected by factors including but not limited to candidate device limitations, network connectivity, and third-party service providers.
10. Indemnification
You agree to indemnify, defend, and hold harmless Hooroo AI Pty. Ltd., its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your violation of these Terms of Service;
- Your failure to obtain necessary consents from Candidates for recording, transcription, SMS communications, or telephone contact;
- Your violation of any applicable law or regulation, including telecommunications, privacy, anti-discrimination, or employment laws;
- Any claim brought by a Candidate related to their interaction with the Service;
- Your use of the Service in a manner inconsistent with these Terms; or
- Any hiring decisions made based on information obtained through the Service.
This indemnification obligation will survive the termination of your account and your use of the Service.
11. Disclaimer and Limitation of Liability
The Service is provided on an "AS IS" and "AS AVAILABLE" basis. While we strive to provide a high-quality service, we do not warrant that the results of the AI screening will be accurate, reliable, or meet your specific requirements. We make no warranties regarding the accuracy of transcriptions, AI evaluations, or any other aspect of the Service.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HOOROO AI PTY. LTD. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICE.
Hooroo AI Pty. Ltd. shall not be liable for any hiring decisions made based on the use of the Service. You acknowledge that final hiring decisions are solely your responsibility and should be made using multiple sources of information and sound judgment.
12. Termination
We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
13. Governing Law and Dispute Resolution
These Terms shall be governed and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Australia.
14. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.
